NOTICE OF ANNUAL MEETING OF MEMBERS TO BE HELD ON THURSDAY, NOVEMBER 19, 2009

The Annual Meeting of members of the Tarry Crest Swimming and Tennis Club, Inc. will be held at the Tappan Hill School, lchabod Lane, Tarrytown, N.Y. on Thursday, November 19, 2OO9 at 7:30 P.M. for the purpose of (1) electing a Board of Governors, (2) approving the actions of the Board of Governors during the preceding year, and (3) transacting such other business as may properly come before the meeting or any continuation thereof.

It is important that you be represented at this meeting in person or by proxy.  Whether or not you plan to attend, please sign, date, and return the enclosed proxy PROMPTLY in order to be sure your vote will be counted at the meeting. You may revoke your proxy at any time before it is exercised at the meeting.

The following are the nominees for the Board of Governors and the date of their first election:

The Governors elected will hold office for a one year term.

OTHER BUSINESS
The Board has not been informed and does not know of any other matters to be brought before the meeting. Members represented at the meeting by the proxies named in the Proxy form will have their votes cast FOR the election of the nominees named above and FOR approving the actions of the Board as described above. The proxies will cast their vote on such matters as may come before the meeting in accordance with instruction from the Board except as instructed by the member signing the Proxy.
